Terms of Service

Software-as-a-Service User Agreement and Licensing Rules.

1. Acceptance of Terms

By accessing, registering for, or using the PropLease platform (the "Service"), developed by Christo Lochenberg Developments, you agree to be bound by these Terms of Service. If you are accepting these terms on behalf of an Estate Agency, Property Management Firm, or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Description of Service

PropLease is a cloud-based property management software solution designed to assist South African property practitioners with Trust Account ledgers, lease generation, municipal tariff calculations, FICA compliance, and automated communications. The Service is provided "as is" and "as available".

3. User Responsibilities & Legal Compliance

While our software is built to facilitate compliance with South African laws, you remain solely responsible for your agency's legal and financial compliance. You agree that:

  • You hold a valid Fidelity Fund Certificate (FFC) if acting as a property practitioner under the PPRA.
  • You will use the platform's CPA-compliant "Letters of Demand" and lease templates responsibly and verify their applicability to your specific legal circumstances.
  • You will not upload fraudulent FICA documents or use the platform for money laundering or illegal evictions.
  • You will maintain the confidentiality of your account credentials and immediately notify us of any unauthorized use.

4. Financial & Tax Disclaimer

Important: PropLease provides automated ledgers, utility split calculations, and IT3(b) equivalent tax reports based entirely on the data entered by users. Christo Lochenberg Developments does not provide tax, legal, or accounting advice.

We do not guarantee the absolute accuracy of financial outputs resulting from user-input errors. You are strictly advised to consult with a registered accountant, auditor, or tax practitioner before submitting records to the South African Revenue Service (SARS) or finalizing Trust Account audits.

5. Subscriptions and Payments

Access to certain features of the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable, except as required by the South African Consumer Protection Act (CPA). We reserve the right to suspend or terminate accounts that fall into arrears.

6. Data Ownership

You retain all rights and ownership to the data, documents, and tenant information you upload to the Service. By utilizing the Service, you grant Christo Lochenberg Developments a secure, limited license to host, process, and back up this data solely for the purpose of operating the platform.

7. Limitation of Liability

To the maximum extent permitted by South African law, Christo Lochenberg Developments, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, loss of data, EAAB/PPRA fines, or Tribunal judgments resulting from your use of, or inability to use, the Service.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we determine breaches these Terms or is harmful to other users of the Service, us, or third parties.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the South African courts.
